Security created or evidenced or expressed to be created or evidenced under or pursuant to the mezzanine security in favor of the security agent for the mezzanine creditors, usually security over the assets and shares in the mezzanine borrower and the debt owed by the mezzanine borrower to the mezzanine shareholder.
